Biography

Chindalena Lourenço (born 1976), Partner at Fatima Freitas & Associados. Graduate of the Kent Law School at the University of Kent in Canterbury, England (1999). Joined the office in 2002. 

She was born in Luanda, where she started her primary education. In 1991 she moved to England where she completed high school (1995) and her law degree. This allowed her to become fluent in English and familiar with the English legal system. Upon completing her studies, she started her practice as a trainee at the Lisbon office of law firm Miranda Correia Amendoeira & Associados. In 2002 Chindalena returned to Angola and joined Fátima Freitas Advogados.

Her practice is focused on corporate law, oil & gas, and banking and financing areas in which she is recognised for her knowledge and experience. She has acted for various international oil companies investing in Angola. The matters on which she has advised span all of the legal aspects of the oil and gas activities in Angola, including the negotiation of production sharing contracts and risk service contracts with NOCs, the negotiation of joint operating agreements and joint venture agreements among IOCs, acreage farm-in and farm-outs, and unitisation and joint development agreements, among others. Her experience on corporate and foreign investment matters is also quite significant, having advised several foreign investors in a wide range of industry sectors to set up their activities in Angola. Her role in these matters included all aspects of foreign investment projects, including drafting by-laws, obtaining all necessary foreign investment project approvals, as well as incorporating companies and registering them with the relevant public entities. 

Chindalena has also been advising Angolan and foreign banks and other financial institutions on a regular basis in banking & financial matters, including sovereign finance, structured finance, acquisition finance, trade-finance, corporate finance, aircraft financing, shipping finance, capital markets, securities and structured products and regulatory matters. 

She is a regular and highly rated contributor to a number of newspapers and legal bulletins, having published several articles in Angolan publications. Chindalena is also an experienced lecturer, with considerable experience in events organized for clients on a number of oil & gas topics.

Chindalena is currently the Executive Director of Us- Angola Chamber of Commerce (USACC) and Country representative for AIPN Angola (Association of International Petroleum Negotiator).

Chindalena is fluent in Portuguese and English.

•       Advising one main South-African bank in the acquisition of a direct qualifying holding from a bank in Angola and providing the respective notice to the regulator

•       Providing legal assistance to an Angolan bank reorganizing its corporate structure, including capital increase operations and negotiations for the entry of new shareholders and in the respective discussions with the regulator

•       Providing legal assistance to various foreign financial institutions regarding several financing operations regarding the Government of Angola and national and foreign companies, including the financing of the acquisition of local companies, carrying out due diligences to target companies and obtaining the respective legal authorizations

•       Providing legal assistance to a Russian and an Angolan bank regarding the merge of two Angolan banks and the acquisition of a qualifying holding in the bank resulting from the merge, including a due diligence to the local bank and assistance in the discussions held with and requirements submitted to the Angolan regulator

•       Providing legal assistance to a reputed foreign credit institution regarding the financing granted to a British oil company and respective guarantees granted over petroleum income in Angola

•       Providing legal assistance to an important LNG company regarding a syndicated loan as guarantee issued by a public company in Angola
